End User License Agreement
Biosigna is licensed to You (End-User) by Biosigna Health Technologies Inc., located at Istanbul, Turkey (hereinafter: Licensor), for use only under the terms of this License Agreement.
By accessing the Biosigna platform, API, dashboard, or any associated services, and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that You accept this License Agreement.
All rights not expressly granted to You are reserved.
1. The Platform
Biosigna (hereinafter: Platform) is a software-as-a-service platform created to provide AI data infrastructure for medical device companies — including wearable data aggregation, event matching, data normalization, and analytics capabilities. It is used to connect, process, and analyze health data from 500+ wearable devices and health trackers.
The Platform is designed to comply with industry-specific regulations including the Health Insurance Portability and Accountability Act (HIPAA), the General Data Protection Regulation (GDPR), and SOC 2 Type II standards. If your use of the Platform requires additional regulatory compliance, please contact us to verify coverage.
2. Scope of License
2.1 You are given a non-transferable, non-exclusive, non-sublicensable license to access and use the Platform under the terms set forth in your service agreement and this License Agreement.
2.2 This license will also govern any updates of the Platform provided by Licensor that replace, repair, and/or supplement the initial Platform, unless a separate license is provided for such update.
2.3 You may not share or make the Platform available to third parties without Biosigna Health Technologies Inc.'s prior written consent. You may not sell, rent, lend, lease, or otherwise redistribute the Platform.
2.4 You may not reverse engineer, translate, disassemble, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Platform, or any part thereof, without prior written consent.
2.5 You may not copy or alter the Platform or portions thereof. You may not remove any intellectual property notices.
2.6 Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.
2.7 Licensor reserves the right to modify the terms and conditions of licensing.
2.8 Nothing in this license should be interpreted to restrict third-party terms. When using the Platform, You must ensure that You comply with applicable third-party terms and conditions.
3. Technical Requirements
3.1 Licensor attempts to keep the Platform updated so that it complies with modified/new versions of supported APIs, protocols, and integrations. You are not granted rights to claim such an update.
3.2 You acknowledge that it is Your responsibility to confirm and determine that your systems and infrastructure on which You intend to use the Platform satisfy the technical specifications documented in our API reference.
3.3 Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.
4. Maintenance and Support
4.1 The Licensor is solely responsible for providing maintenance and support services for the Platform. You can reach the Licensor at support@biosigna.ai.
4.2 Support includes access to our documentation, API reference, status page, and dedicated support channels as outlined in your service agreement.
5. Use of Data
You acknowledge that the Platform will process health data as described in your service agreement. Licensor's use of such data is subject to the Privacy Policy and your Data Processing Agreement (DPA). Biosigna acts as a data processor on behalf of the customer (data controller) and does not access, sell, or share patient data for any purpose other than providing the contracted services.
6. API Usage and Rate Limits
Your use of the Biosigna API is subject to the rate limits and usage quotas specified in your service agreement. Exceeding these limits may result in throttling or temporary suspension of API access. You agree not to circumvent rate limiting mechanisms or attempt to overload the Platform.
7. Liability
7.1 Licensor's responsibility in the case of violation of obligations and tort shall be limited to intent and gross negligence. Only in case of a breach of essential contractual duties (cardinal obligations), Licensor shall also be liable in case of slight negligence. In any case, liability shall be limited to the foreseeable, contractually typical damages. The limitation mentioned above does not apply to injuries to life, limb, or health.
7.2 Licensor takes no accountability or responsibility for any damages caused due to a breach of duties according to Section 2 of this Agreement. You are required to implement appropriate backup and disaster recovery measures for data processed through the Platform.
8. Warranty
8.1 Licensor warrants that the Platform is free of spyware, trojan horses, viruses, or any other malware. Licensor warrants that the Platform works as described in the official documentation.
8.2 No warranty is provided for the Platform that has been unauthorizedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, or used with inappropriate configurations.
8.3 You are required to report any issues discovered without delay by emailing support@biosigna.ai. The defect report will be taken into consideration if mailed within ninety (90) days after discovery.
8.4 If we confirm that the Platform is defective, Biosigna Health Technologies Inc. reserves a choice to remedy the situation either by means of solving the defect or providing a workaround.
9. Service Level Agreement
Biosigna commits to 99.99% API uptime as measured on a monthly basis. Scheduled maintenance windows will be communicated at least 72 hours in advance. Service credits may be issued in accordance with the terms of your service agreement if uptime falls below the committed level.
10. Legal Compliance
You represent and warrant that You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and that You are not listed on any U.S. Government list of prohibited or restricted parties.

12. Termination
The license is valid until terminated by Biosigna Health Technologies Inc. or by You. Your rights under this license will terminate automatically and without notice from Biosigna Health Technologies Inc. if You fail to adhere to any term(s) of this license. Upon License termination, You shall stop all use of the Platform, and destroy all copies, full or partial, of any materials provided.
13. Intellectual Property Rights
Biosigna Health Technologies Inc. retains all intellectual property rights in and to the Platform, including all source code, algorithms, models, documentation, and related materials. Nothing in this Agreement grants You any rights to our intellectual property except the limited license expressly granted herein.
14. Applicable Law
This license agreement is governed by the laws of the Republic of Turkey, excluding its conflicts of law rules.
15. Miscellaneous
15.1 If any of the terms of this agreement should be or become invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones formulated in a way that will achieve the primary purpose.
15.2 Collateral agreements, changes and amendments are only valid if laid down in writing. The preceding clause can only be waived in writing.

The Platform is intended to provide data infrastructure and analytics tools for medical device companies. It is not designed to directly diagnose, treat, cure, or prevent any medical condition, nor should it be considered a substitute for professional medical advice, diagnosis, or treatment. Biosigna Health Technologies Inc. is not a licensed medical care provider. The Platform provides data processing and analytical capabilities; all clinical decisions remain the sole responsibility of licensed healthcare providers using the data outputs.
